The Wall Street Journal's Law Blog is reporting that Judge Emmet Sullivan appears to be uncomfortable with the settlements reached by the U.S. Department of Justice in connection with two telecom mergers, SBC-AT&T and Verizon-MCI. According to the post, Federal Judge Questions Two Telecom Mega-Mergers, Judge Sullivan issued an order observing that the two mergers "appear to be against public interest given the apparent loss in competition." Whether he will believes that the proposed settlements adequately address that loss remains to be seen.

According to Reuters, the FTC has announced that National Grid Plc may close its acquisition of KeySpan Corp. The article appears here. Reuters also reports that Kimco Realty Corp., which buys, develops, and operates shopping centers, intends to acquire Pan Pacific Retail Properties Inc. for $2.9 billion.

Mittal Steel Co. will not acquire "the outstanding minority stakes of Arcelor's two Brazilian subsidiaries" when it takes over Arcelor, according to this AP story. Lastly, OnWafer® Technologies announced today it has acquired the Plasma Management Division from Advanced Energy Industries, Inc.

Dor Alon-Sonol merger stayed pending appeal to Israel's Supreme Court

A judge in Israel has stayed the proposed merger of Dor Alon Energy and Sonol Israel.  According to GLOBES' Supreme court delays Dor Alon-Sonol merger, Judge Edna Arbel stayed the merger until the Supreme Court hears an appeal by Israel's Antitrust Authority.

The Dor Alon-Sonol merger was announced in September 2005.  The Antitrust Authority opposed the merger, denying clearance. On appeal to the Restrictive Trade Practices Tribunal, the Tribunal approved the deal with conditions.  This time, the Antitrust Authority appealed to the Supreme Court.

In staying the merger pending the appeal, Judge Arbel "noted the importance of the fact that the Restrictive Trade Practices Tribunal did not reject the arguments of the Antitrust Authority concerning reasonable concern about material damage to competition."  She "largely agreed with the Antitrust Authority's economic analysis."

Things don't look good on this one . . . Stay tuned.

This Weekend's Merger News
Speculation continues to surround St. Paul Travelers Cos. and Zurich Financial Services Group. St. Paul has denied that it's in merger talks with Zurich, despite a Wall Street Journal story to the contrary.

Elsewhere in the insurance industry, the UK's Aviva Plc is considering a hostile bid for UK rival, Prudential Plc. According to this Reuters article, the deal would be largely complementary.

In Europe, France's machinations to avoid the acquisiton of France's Suez S.A. by Italy's Enel SpA has drawn the criticism of European Commission President Jose Manuel Barroso. According to this AP article, Barroso said that France's decision to "orchestrate" a merger of Suez with a state-controlled utility created "the impression that the plan had been engineered 'by an (EU) member state to defend itself against another member state. . . That is dangerous,' Barroso said. 'And my duty is to say 'no' to economic nationalism.'"

This saga won't end soon--Enel SpA is "expected to sound EU antitrust authorities about a tentative hostile bid for Suez."

Italy's Top Antitrust Regulator Says No to Enel-Eni Merger

Italy's top antitrust enforcer, Antonio Catricala, told an Italian newspaper that a merger between two Italian energy companies Enel, the country's largest utility, and Eni, an oil and gas company, would violate Italy's antimonopoly laws. According to this Reuters.com article, Italy antitrust head: Enel-Eni merger to breach law, talk of such a merger began after France announced that it would approve the consolidation of two French energy companies, Gaz de France and Suez, when it learned of "Enel's possible bid for Suez." Concerning the "debate about protectionism and economic patriotism," a debate occurring in the US as well, "Catricala said neither [the] market nor consumers needed national champions."  Here, here.
